Terms of Service

These Terms of Service (“Terms”) form an agreement between you and OpenDev, the organization that operates the Services described below.

1. Scope and acceptance

These Terms govern access to websites, applications, APIs, developer tools, integrations, and other services operated by OpenDev (collectively, the “Services”). By accessing or using a Service, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be legally capable of entering into these Terms. If you use a Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

3. Accounts and security

Some Services require an account or third-party sign-in. You must provide accurate information, keep credentials secure, and promptly notify the relevant OpenDev support channel of suspected unauthorized access.

You are responsible for activity performed through your account unless prohibited by applicable law. OpenDev may require additional verification to protect accounts and Services.

A particular Service may include additional terms, documentation, usage limits, licenses, or policies. Those additional terms apply to that Service. If they conflict with these Terms, the more specific terms control for that Service.

5. Use of the Services

Subject to these Terms, OpenDev grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. You may not copy, resell, sublicense, or exploit a Service except as expressly permitted by OpenDev or applicable law.

You retain ownership of content you submit to a Service. You grant OpenDev a limited license to host, process, reproduce, and transmit that content only as needed to operate, secure, and provide the Service.

You represent that you have the rights necessary to submit the content and that its use through the Service will not violate law or the rights of others. Service-specific terms may provide additional rules for repositories, code, files, prompts, or other content.

8. OpenDev materials and open source

Except for user content and third-party materials, the Services and their software, design, branding, and documentation are owned by OpenDev or its licensors and protected by applicable law.

Software released under an open-source license is governed by that license. These Terms do not limit rights granted under an applicable open-source license.

The Services may rely on or link to third-party identity, infrastructure, and integration providers. Third-party services are governed by their own terms and policies. OpenDev is not responsible for third-party services outside its control.

10. Fees

Some Services may be offered for a fee. Any prices, billing periods, taxes, renewal terms, and refund rules will be disclosed before purchase or in service-specific terms. You authorize applicable charges using the payment method you provide.

11. Feedback

If you provide ideas or feedback about the Services, OpenDev may use them without restriction or compensation, provided doing so does not identify you publicly without permission.

12. Suspension and termination

You may stop using the Services at any time. OpenDev may limit, suspend, or terminate access when you violate these Terms, create security or legal risk, fail to pay applicable fees, or use a Service in a way that could harm OpenDev, users, or third parties.

Where reasonable, OpenDev will provide notice and an opportunity to resolve the issue. Provisions that by their nature should survive termination will remain in effect.

13. Changes to the Services

OpenDev may modify, add, remove, or discontinue features. We will try to provide reasonable notice of material changes when practical, but urgent security, legal, or operational changes may take effect immediately.

To the extent permitted by law, the Services are provided “as is” and “as available.” OpenDev disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

OpenDev does not guarantee that the Services will be uninterrupted, secure, error-free, or suitable for every purpose. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

15. Limitation of liability

To the extent permitted by law, OpenDev and its contributors, officers, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising from the Services. Liability that cannot legally be excluded remains limited to the maximum extent permitted by law.

16. Indemnification

To the extent permitted by law, you will defend and indemnify OpenDev against third-party claims arising from your unlawful use of the Services, your content, or your material violation of these Terms. This provision does not apply where prohibited by law.

17. Applicable law and disputes

These Terms are governed by applicable law, without limiting mandatory consumer protections. Any dispute must be brought before a court with lawful jurisdiction unless service-specific terms or applicable law provide another process.

18. Changes to these Terms

OpenDev may update these Terms from time to time. The revised version will be posted on this page with a new effective date. Where required, we will provide additional notice before material changes take effect.
